Code of Business Conduct
Second Order Effects, Inc. (the “Company”) is committed to maintaining the highest standards of business conduct and ethics and ensuring legal compliance. This Code of Business Conduct (“Code”) reflects the practices, procedures, and principles of behavior that support this commitment. We request that all parties that interact with the Company, including our clients, vendors, employees, contractors, agents, advisors, representatives, and visitors, read, understand, and follow this Code. This Code is designed to represent key guiding principles for all parties that interact with the Company and should not be understood to replace or eliminate any additional obligations set forth in applicable agreements. Additionally, while this Code is intended to provide principles-based guidance, it cannot cover every applicable law or provide guidance on all situations or questions that may arise.
Honest and Ethical Conduct. The Company promotes high standards of integrity by conducting our affairs in an honest and ethical manner. The affairs and reputation of the Company depends on the honesty, fairness and integrity brought to the job by each person associated with us. Unyielding personal integrity is the foundation of corporate integrity.
General Legal Compliance. Obeying applicable laws and regulations, both in letter and in spirit, is the foundation of this Code. Our success depends upon clients operating within legal guidelines and cooperating with local, national and international authorities.
General Conduct Guidelines. All parties that interact with the Company are expected to exercise common sense and courtesy at all times for the benefit of the Company and its clients, vendors, employees, contractors, agents, advisors, representatives, and visitors. Professionalism is expected, as is respect for the safety and security of people and property. The following are some examples of unacceptable conduct:
Unauthorized use or removal of Company property from its premises.
Willfully, negligently, or carelessly damaging, defacing, or mishandling property of the Company or any employee.
Taking or giving bribes of any nature.
Entering Company premises without authorization.
Conduct that is illegal under federal, state, or local law.
Creating a disturbance on Company premises.
Use of abusive language, or abuse or malicious conduct. Abusive conduct may include repeated infliction of verbal abuse, such as the use of derogatory remarks, insults, and epithets, verbal or physical conduct that a reasonable person would find threatening, intimidating, or humiliating, or the sabotage or undermining of a person’s work performance.
Use or possession of illegal drugs on Company premises at any time.
Use of alcohol or illegal drugs while engaging with Company, or working with the Company under the influence of intoxicants.
Unauthorized possession of a weapon on Company premises.
No Weapons Policy. In the interest of doing work for society where there is more benefit than harm, the Company has a policy against undertaking projects that have applications that are related to weapons. The definition of a weapon can be difficult. Some technologies are used for offense; others are used for defense. Some are used for direct harm; others are for communications or support. The Company reserves the right to reject any project that has applications that are related to weapons or may be related to weapons.
Violations. Any party who violate the terms of this Code will face disciplinary action, and consequences may range from a warning or reprimand to termination of agreement, civil action, and/or criminal prosecution. The Company will not retaliate against innocent individuals who report violations in good faith.
